These Terms and Conditions govern the services provided by Rahul Jain (“Freelancer”) to clients (“Client”) for digital marketing solutions. By engaging the Freelancer’s services, the Client agrees to the following terms:
1. Scope of Services
The Freelancer provides the following digital marketing services:
- Google My Business management
- Social media management (Facebook, Instagram, etc.)
- WhatsApp marketing
- Search engine optimization (SEO)
- Content creation and strategy
- Paid ad campaigns and performance tracking
Specific deliverables, timelines, and goals will be outlined in a separate project proposal or agreement.
2. Payment Terms
- The Client agrees to pay 100% of the total project fee upfront before the commencement of any work.
- Payments will be made via [bank transfer/UPI/PayPal or preferred payment method], as per the invoice issued.
- All payments are non-refundable unless the Freelancer is unable to deliver the agreed services due to unforeseen circumstances.
3. Intellectual Property
- All content, designs, and strategies created by the Freelancer will remain the Freelancer’s property until full payment is received.
- Upon receipt of full payment, intellectual property rights for deliverables will transfer to the Client, excluding proprietary tools or templates owned by the Freelancer.
4. Confidentiality
- Both parties agree to keep all project-related information confidential unless consent is given to disclose it.
- The Freelancer will not disclose the Client’s business information, data, or strategy to any third party without prior approval.
5. Client Responsibilities
- The Client agrees to provide all necessary information, access, and resources needed to complete the project.
- Delays in providing requested materials may result in project delays.
6. Revisions and Feedback
- The Freelancer will allow up to [X] revisions for deliverables, as outlined in the project scope.
- Additional revisions beyond the agreed number will incur additional charges.
7. Liability
- The Freelancer will not be held liable for any losses, damages, or legal issues arising from the use of services provided.
- The Client agrees to indemnify the Freelancer from claims or disputes arising from the use of digital marketing services.
8. Termination of Agreement
- Either party may terminate the agreement by providing [X days’] written notice.
- In the event of termination, no refunds will be issued for services already initiated or completed.
9. Non-Solicitation
- During the project and for a period of 6 months thereafter, the Client agrees not to solicit the Freelancer’s contractors, team members, or partners for separate engagements.
10. Dispute Resolution
- Any disputes arising from this agreement will be resolved through negotiation or arbitration before taking legal action.
- Jurisdiction for any legal proceedings will be Bangalore, India.
11. Force Majeure
- The Freelancer will not be held liable for delays or non-performance due to circumstances beyond control, including but not limited to natural disasters, pandemics, or government actions.
12. Amendments
- The Freelancer reserves the right to amend these terms with written notice to the Client.
Acceptance of Terms
By engaging the Freelancer’s services and making upfront payment, the Client acknowledges they have read, understood, and agreed to these Terms and Conditions.
